Legal Terms and Conditions of the SmartLandlord Affiliate Program

This partnership agreement governs the collaboration between Jordi Bofill Mombrú (self-employed) and independent partners. Partners may recommend SmartLandlord to their clients, though there is no obligation to do so. SmartLandlord compensates successful referrals with commissions and offers all partners free, permanent access to the Enterprise package, a partner dashboard, and marketing materials. Starting at the Bronze level, SmartLandlord may also assign pre-qualified requests from property owners (warm leads) to the partner; there is no entitlement to a specific volume of leads (§3.5). As the number of referred clients increases, the commission and other benefits also increase. The contract defines the mutual rights and obligations as well as the commission structure.

Parties to the Contract

This partnership agreement governs the collaboration between:

and the member, whose information is provided on the registration form. Throughout this agreement, “SmartLandlord” refers to Jordi Bofill Mombrú in his capacity as the owner and operator of the platform.

The goal is a partnership based on equal terms and mutual benefit: the partner is free to decide whether to recommend SmartLandlord and to what extent. SmartLandlord rewards successful referrals with commissions and provides the partner with marketing tools and materials; starting at the Bronze level, SmartLandlord may also assign pre-qualified inquiries (warm leads) to the partner in accordance with §3.5.

§1 Purpose of the Contract

The partner may recommend SmartLandlord's services and receives a personalized coupon code in return. The partner acts as an independent contractor; this contract does not create an employer-employee relationship.

Assignment of Referrals: A new customer is assigned to a partner only when the customer enters the partner’s personalized coupon code at the time of registration or when purchasing a paid subscription for the first time. Registrations without a coupon code cannot be technically assigned and do not entitle the partner to a commission. Retrospective assignment is not possible. The affiliate receives:

§2 Member Obligations

2.1 Voluntary Nature of the Recommendation. The partner is free to decide whether, when, and to what extent to recommend SmartLandlord. There is no obligation to promote the service or to reach a specific number of recommendations. The scope and benefits of the partnership are governed exclusively by the partner’s membership level as set forth in §4. Inactivity does not result in termination of the contract or loss of access to the Enterprise package. When the partner recommends SmartLandlord, they shall use only accurate information regarding the scope of services, pricing, and results, as well as their personalized coupon code.

2.2 Member Information. Upon registration, the member provides the following information and keeps it up to date: first and last name of the person authorized to represent the member; email address for contractual communications and notifications; and trade name or company name, if applicable. No other supporting documents are required for registration or for using the member dashboard, the coupon code, or the Enterprise package. When a commission becomes due for the first time, SmartLandlord will request the information necessary for payment and tax purposes (billing address, NIF/NIE, VAT number, and bank information). Until this information is provided, the commission balance remains in the partner’s account; it does not expire.

2.3 Usage Guidelines. Compliance with the usage guidelines for partner badges and marketing materials. Partner badges may only be used at the level currently assigned to the partner.

§3 SmartLandlord's Obligations

3.1 Technical Specifications.

  • Partner Dashboard: a customized dashboard with real-time tracking for all partners
  • Enterprise Package: Free access for all members, permanently and regardless of activity (§5)
  • Marketing Materials: Access to professional promotional materials for all members
  • Member Badge: Available in the Member Dashboard starting at the Bronze level
  • Warm leads: Assignment of prequalified homeowner applications starting at the Bronze level, in accordance with §3.5

3.2 Financial Management. Commissions are paid monthly once the balance reaches a minimum of €250 via bank transfer (SEPA). If the balance does not reach the minimum threshold in a given month, it is carried over to the following month and does not expire. At the end of the contract, the remaining balance is paid out regardless of the minimum threshold.

3.3 Support Services.

3.4 Activation and Backlinks. Activation of the partner account after verification of registration information. Provision of a dofollow backlink and listing in the partner directory starting at the Bronze level; exclusive blog posts for Gold partners.

3.5 Warm Leads and Lead Assignment. Starting at the Bronze level, SmartLandlord can assign pre-qualified requests from landlords (warm leads) to partners based on AI recommendations. Assignments are made based on the service area specified by the partner, their service category, and their partner level. The higher the partner level, the higher the priority in the assignment. Whether requests are assigned—and how many—depends exclusively on whether platform users express the corresponding need within the partner’s service area and consent to the sharing of their data. SmartLandlord has no influence over the number, quality, or timing of these requests.

§4 Commissions and Membership Levels

Commissions and other benefits are tiered based on the number of customers the affiliate brings in who have an active paid subscription. The commission is paid on the first subscription payment made by those customers.

Applicable terms: The commission rates in effect at any given time and the number of customers for each partner level are published in the commission summary at https://www.smartlandlord.es/partners/ and in the partner dashboard, and form part of this agreement. SmartLandlord may modify these terms in accordance with §13.

Decisive Moment: For each referral, the terms published at the time of the referral apply. SmartLandlord archives all published versions of the commission summary along with their effective dates and makes them available to the partner upon request. There is no minimum number of referrals required. Partners who have not acquired any clients remain indefinitely at the “Registered” level and retain access to the partner dashboard, their personalized coupon code, marketing materials, and free access to the Enterprise package.

Bronze Member

First commission tier: Bronze badge, dofollow backlink, listing in the partner directory, allocation of warm leads in accordance with §3.5, basic marketing materials. Enterprise package and partner dashboard included, as with all tiers.

Silver Member

Increased commission, priority support, Silver badge, expanded marketing materials, higher priority in lead allocation (§3.5), dofollow backlink.

Gold Member

Maximum commission, Premium support with a dedicated phone line, Gold status, exclusive marketing materials, top priority in lead allocation (§3.5), invitations to partner events, an exclusive blog post with contextual backlinks, and a spot on the homepage.

4.1 Payment Terms. Monthly payment starting at a balance of €250 via bank transfer (SEPA). The commission is earned upon receipt of the first subscription payment from a client assigned to the partner.

4.2 Tier Classification, Promotion, and Demotion. Membership tiers are reviewed monthly based on the number of active clients acquired and the published tier thresholds. Promotions take effect immediately. Demotions occur only when a member has fallen below the threshold for three consecutive months, and the member is notified 30 days in advance via email. Access to the Enterprise package is not affected by any demotion.

One-time fee per customer

The commission is paid only once and is calculated based on the first payment made by the acquired customer. Subsequent and recurring payments from the same customer do not entitle the agent to an additional commission. Nor do the renewal, change, or extension of an existing subscription result in a new commission. The commission percentage is determined by the member’s level at the time of the customer’s first payment.

§5 Free access to the Enterprise package

All members receive free access to the Enterprise package, regardless of their membership level or whether and how many clients they bring in. Access is maintained even in the event of prolonged inactivity and ends only upon termination of the membership agreement.

Scope of Services. The scope of the Enterprise package as published at any given time on the SmartLandlord website applies, including the quotas specified therein (among others, for the number of managed properties, AI analysis, AI tokens, and PDF reports). Free access includes these quotas; any usage exceeding them, as well as additional paid options, must be paid for separately by the partner. If SmartLandlord modifies the scope of the Enterprise package, §13 shall apply accordingly. Upon termination of the contract, access will be terminated with 30 days’ notice. During this period, the partner may export their data and the generated analyses.

§6 Use of Member Logos and Marketing Materials

6.1 Partner Badges. Partner badges (Bronze, Silver, Gold) are available in the partner dashboard starting at the corresponding level and may be used throughout the term of the partnership on websites, brochures, email signatures, or social media.

6.2 Marketing Materials. Marketing materials are available in the partner dashboard. Special materials must be requested via email.

6.3 End of Use. Upon termination of the contract, authorization to use the membership seals ends. If a member is downgraded, the seal from the previous level may continue to be used for 30 days to allow for adjustments to the website and printed materials. Marketing materials may continue to be used in part upon request.

7.1 Standard Backlinks. Partners at the Bronze level and above receive a dofollow backlink from our partners page, featuring their company name and a link to their website.

7.2 Premium Backlinks for Gold Members.

7.3 Duration of Backlinks. The backlink remains active for the duration of the partnership starting at the Bronze level. If the partnership is downgraded to the “Registered” level or the contract is terminated, the backlink remains active for an additional six months and is then removed. If the backlink is blocked due to misuse in accordance with §9, it may be removed immediately.

§8 Registration Process

The registration process consists of four simple steps:

  • Registration: Sign up at /signup with email confirmation (double opt-in)
  • Member Registration: Acceptance of the Digital Membership Agreement
  • Verification: SmartLandlord reviews the documents and the contract, and then activates the account
  • Customer Acquisition: Use of a personalized coupon code for customer discounts, integration of SmartLandlord reports, and tracking of commissions in the partner dashboard

§9 Protection Against Misuse

9.1 Prohibited Practices and Procedures. SmartLandlord monitors the use of the affiliate program to detect and prevent misuse.

Prohibited Practices

Manipulation of coupon codes; misleading customer recruitment; targeting customers who clearly have no interest in long-term use; unauthorized use of stamps or materials.

If any of these practices are suspected, SmartLandlord notifies the partner and grants them 14 days to submit a defense. If the violation is confirmed, commission rights for the affected referrals are forfeited; commissions already paid for those referrals may be reclaimed. In the event of serious or repeated violations, SmartLandlord may suspend the partner and terminate the contract without notice. Commission entitlements for uncontested referrals remain in effect in all cases.

9.2 Suspicious Cancellation Patterns. SmartLandlord analyzes the cancellation rates of acquired customers. In the event of notable patterns, SmartLandlord reserves the right to take the following measures: review of the partner’s referral practices; claim for commissions under §4.1; temporary or permanent suspension of the partner following a hearing in accordance with §9.1; and legal action if intentional misuse is proven. An above-average cancellation rate, on its own, does not constitute grounds for an allegation of misuse.

§10 Term and Termination

10.1 Commencement and Term of the Contract. The contract begins upon acceptance and is of indefinite duration. There is no minimum term or minimum activity requirement. SmartLandlord does not terminate the contract due to a partner’s inactivity.

10.2 Termination by Either Party. Either party may terminate the contract by providing 30 days' written notice.

10.3 Termination by SmartLandlord for Just Cause. SmartLandlord may terminate the contract without notice or block the member in the event of serious violations pursuant to §9, following a hearing in accordance with §9.1. In the event of imminent risk, access may be blocked as a precautionary measure; the hearing shall be held without delay thereafter.

10.4 Consequences of Extinction.

In the event of termination

Commission fees that have already accrued but have not yet been paid remain valid and are paid in accordance with §3.2, regardless of the minimum payment threshold. Access to the Enterprise package ends 30 days after the termination takes effect; during that period, it is possible to export data and analytics. The rights to use the partner badges will expire. Backlinks will be retained for six months in accordance with §7.3.

§11 Liability

11.1 Liability. SmartLandlord bears unlimited liability for willful misconduct and gross negligence, as well as for injury to life, physical integrity, or health. In cases of slight negligence, SmartLandlord is liable only for the breach of essential contractual obligations and only to the extent of the foreseeable and typical damage arising from the contract. Essential contractual obligations are those whose fulfillment enables the proper performance of the contract and on whose observance the partner may reasonably rely. In all other respects, liability is excluded to the extent permitted by Spanish law.

11.2 Indemnification. The partner is responsible for the lawful use of the materials and shall hold SmartLandlord harmless from any third-party claims, to the extent that such claims are based on a culpable breach by the partner. SmartLandlord shall promptly notify the partner of any claims made and give the partner the opportunity to defend itself.

§12 Data Protection

12.1 Compliance with the GDPR and the LOPDGDD. Both parties agree to comply with Regulation (EU) 2016/679 (GDPR) and Organic Law 3/2018 on the Protection of Personal Data and the Guarantee of Digital Rights (LOPDGDD).

12.2 Data Processing by the Partner. The partner may only process personal data in connection with customer referrals and in accordance with applicable laws.

12.3 Allocation of Responsibilities. When prequalified leads are transmitted to the partner, both parties act as independent data controllers within the meaning of the GDPR. The transmission is carried out exclusively on the basis of the consent of the affected user. The partner processes the transferred data under its own responsibility and solely for the purpose of contacting the user and preparing an offer. To the extent that, in exceptional cases, the partner acts on instructions on behalf of SmartLandlord, SmartLandlord will provide, upon request, a data processing agreement in accordance with Article 28 of the GDPR.

§13 Contract Amendments

SmartLandlord may amend the contract by providing 30 days' written notice. The partner may terminate the contract within that period if he or she does not agree with the amendments.

Changes to the Commission Summary. For changes to the Commission Summary referred to in §4—that is, changes to commission percentages and commission eligibility thresholds—the following applies: Members are notified of each change via email. Changes that are disadvantageous to the partner are communicated 30 days prior to their effective date. The partner may terminate the contract within that period. Any reduction in a commission rate, any increase in a commission tier threshold, as well as any change that does not exclusively benefit the partner is considered a change to the partner’s detriment. Changes that exclusively benefit the partner—in particular, an increase in a commission rate or a reduction in a commission tier threshold—take effect immediately without prior notice. Partners are informed of this without delay. Changes in the partner’s favor also apply, as of their effective date, to existing clients, as long as their right to commission remains in effect.

§14 Final Provisions

14.1 Governing Law and Jurisdiction. Spanish law shall apply, excluding the United Nations Convention on Contracts for the International Sale of Goods. For any dispute arising from this contract between business entities or professionals, the courts of Barcelona shall have exclusive jurisdiction; however, SmartLandlord is entitled to sue the partner in the courts of the partner’s place of residence as well. Before initiating legal proceedings, both parties shall endeavor to reach an out-of-court settlement.

14.2 Severability Clause. The invalidity of any provision shall not affect the validity of the remaining provisions. The applicable legal provision shall apply in place of any invalid provision.
